DOMAIN NAME LEASE AGREEMENT
This Domain Name Lease Agreement ("Agreement") is entered into by and between QNE LLC, located in Oregon, USA, with an email of support@domainrentalco.com ("Owner"), and the applicant ("Renter") upon approval of the Renter’s application. By checking the box below, the Renter agrees to the terms of this Agreement, which becomes effective only upon the Owner’s written approval of the application. This Agreement is not binding until such approval is granted.
1. DEFINITIONS
- “Domain”: The internet domain name specified in the approved application.
- “DNS”: Domain Name System settings controlling the Domain’s connectivity.
- “Registrar”: The accredited company managing the Domain’s registration.
- “Valuable Domain”: A Domain deemed by the Owner to have significant market value, revenue potential, or branding recognition.
- “Breach”: Any violation of this Agreement, including non-payment, misuse, or illegal use of the Domain.
2. DOMAIN LEASE Upon approval, the Owner agrees to lease the Domain to the Renter for a term of one year (“Term”), starting from the date of approval (“Start Date”). The Renter receives a limited, non-transferable, non-exclusive right to use the Domain. This lease does not transfer ownership or intellectual property rights. The Renter’s use must not infringe third-party trademarks or intellectual property.
3. OWNER’S CONTROL The Owner retains full ownership and control of the Domain, which remains registered with the Owner’s chosen Registrar. The Renter may modify DNS settings without prior approval. The Owner may audit DNS settings and Domain usage at any time without notice, minimizing disruption unless immediate action is required.
4. PAYMENT The Renter shall pay a monthly fee as specified in the approved application, due on the 1st of each month, starting from the Start Date, via check or credit card. The first payment is due within 7 days of the Start Date.
- Late Payments: Payments not received within 5 days of the due date will incur a late fee of 5% of the unpaid invoice balance per month until the invoice is fully paid. This fee will be applied only to the original unpaid principal balance and will not compound on prior late fees.
- Non-Payment: If unpaid for 15 days, the Owner may suspend the Domain (e.g., redirect or disable it). If unpaid for 30 days, the Owner may terminate the Agreement.
5. TERM AND TERMINATION
- Term: The Agreement lasts one year from the Start Date.
- Termination by Owner: The Owner may terminate with 3 months’ written notice or immediately upon Breach (e.g., non-payment for 30 days, misuse, or illegal activities).
- Termination by Renter: The Renter may terminate with 6 months’ written notice.
- Mutual Termination: The Parties may terminate early by mutual written agreement.
- No Refunds: Prepaid fees are non-refundable unless agreed in writing.
- Post-Termination: Upon termination, the Renter’s right to use the Domain ceases, and the Renter must cooperate to revert DNS settings.
- Renewal: The Agreement renews automatically for one-year terms unless either Party provides 30 days’ written notice of non-renewal. Renewals require Owner’s approval and may include updated terms.
6. RENTER RESPONSIBILITIES
- Usage: The Renter must use the Domain legally, avoiding illegal activities (e.g., fraud, phishing), inappropriate content (e.g., adult material, hate speech), or spam. Violations incur a $1,000 fine per instance, plus damages, and may lead to termination.
- Domain Value: The Renter is responsible for preventing misuse that harms the Domain’s value (e.g., blacklisting) and shall pay related restoration costs.
- Risk: The Renter assumes all legal, financial, and operational risks, including third-party claims.
- Compliance: The Renter must comply with all applicable laws (e.g., GDPR, CCPA).
- Services: The Owner is only responsible for Domain registration. The Renter manages hosting, email, uptime, backups, and security.
7. INDEMNIFICATION The Renter shall indemnify and hold harmless the Owner from claims, damages, or expenses (including legal fees) arising from the Renter’s use, Breach, legal violations, or third-party claims. This survives termination.
8. FORCE MAJEURE Neither Party is liable for delays due to uncontrollable events (e.g., natural disasters, internet disruptions).
9. NO ASSIGNMENT The Renter may not assign rights or obligations without the Owner’s written consent.
10. SEVERABILITY If any provision is invalid, the remainder of the Agreement remains in force.
11. GOVERNING LAW This Agreement is governed by Oregon law.
12. DISPUTE RESOLUTION Disputes shall first attempt mediation in Oregon for 30 days, with costs split equally. If unresolved, binding arbitration in Oregon under the American Arbitration Association’s rules applies, with an arbitrator experienced in domain law.
13. NOTICES Notices must be in writing via email (with confirmation), certified mail, or courier to the addresses provided in the application, effective upon delivery confirmation.
14. NO WAIVER Failure by either Party to enforce any provision does not waive future enforcement of that provision.
15. AMENDMENT OF TERMS The Owner reserves the right to update or modify this Agreement at any time. The Owner will notify the Renter of any changes in writing via email or other agreed-upon method. The Renter’s continued use of the Domain after receiving such notification constitutes acceptance of the updated terms.
16. SURVIVAL Sections 5, 6, 7, 11, 12, and 13 survive termination.
17. ENTIRE AGREEMENT This Agreement constitutes the complete agreement and supersedes prior agreements. Amendments must be in writing and approved by both Parties.
By checking the box below, the Renter acknowledges they have read, understood, and agree to be bound by this Agreement upon the Owner’s approval of their application. The Agreement is not binding until such approval is granted in writing by the Owner.
